To enter the 12 Days of Perks: NBA Sweepstakes ("Sweepstakes"), you must agree to and abide by these Official Rules ("Official Rules").

NO PURCHASE OR PAYMENT NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT WILL NOT IMPROVE YOUR CHANCE OF WINNING.

1. Eligibility: The Sweepstakes is only open to entrants who, at the time of entry and throughout the Sweepstakes Period and prize fulfillment period as set forth below, are: (a) natural persons who are legal residents of the 50 United States or the District of Columbia; and (b) at least 18 years of age (or the age of majority in their jurisdiction of residence, whichever is or older). Employees, officers and directors of Disney Streaming Services LLC ("Sponsor" or "Disney+"), Probability LLC ("Administrator"), Epsilon Data Management, LLC ("Epsilon"), the National Basketball Association ("NBA") and its Member Teams, NBA Properties, Inc., and their advertising, promotion, fulfillment or production agencies (collectively, "Sweepstakes Entities"), as well as the immediate family members and/or those living in the same household of any Sweepstakes Entity are not eligible to enter or win. "Immediate family members" shall mean spouse, mother, father, brother, sister, and children. "Household members" shall mean people who share the same residence at least three (3) months a year, whether related or not. Void where prohibited by law and subject to all applicable federal, state, and local laws and regulations. Participation constitutes entrant’s full and unconditional agreement to these Official Rules and Sponsor’s and Administrator’s decisions, which are final and binding in all matters related to the Sweepstakes. Winning is contingent upon fulfilling all requirements set forth herein.

If selected as the potential winner, the entrant and potential guest (if over the age of eighteen [18]) will be required to consent to a background check to verify eligibility; and, failure to sign such consents and authorizations and/or to furnish all required information will result in disqualification without compensation of any kind. In addition, Sponsor and Administrator reserve the right in their sole discretion to disqualify the potential winner or their potential guest (without explanation or compensation of any kind) if the results of such background check reveal that potential winner or their potential guest does not meet the Sweepstakes eligibility requirements or has been charged with a felony or a crime of moral turpitude, or any other act that might reflect negatively on Sponsor, Administrator or any of the Sweepstakes Entities, as determined by the Sponsor or Administrator in their sole discretion. All such decisions of Sponsor and Administrator are final and binding in all respects and not subject to appeal.

4. Sweepstakes Entry: The Sweepstakes begins at 9:00 AM Pacific Time ("PT") on December 4, 2025 and ends at 8:59 AM PT on January 16, 2026 ("Sweepstakes Period"). Epsilon's computer is the Sweepstakes’ official clock.

5. How to Enter: During the Sweepstakes Period, there are two (2) ways to enter the Sweepstakes:

A. Method #1 - Disney+ Subscriber Online Entry: To enter via this method of entry, you must be a Disney+ subscriber, with an online MyDisney account. Navigate the internet to https://perks.disneyplus.com ("Website"). You will need to log in using your MyDisney account email address associated with your Disney+ subscription (the "Account"); or, if you do not have an online MyDisney account, you will need to create an account. You may create an account for free by visiting the Website, clicking on the "Create an Account" link and providing the requested information on the registration form through the "Create Your Disney Account" section on the Website. You must register for the Sweepstakes through the Website. Once you are logged into your Account, you may enter the Sweepstakes by navigating to the "Discover" page, clicking on the "12 Days of Perks: NBA Sweepstakes" image, and following the instructions within the Website to enter.

CLICK THE CHECKBOX SIGNIFYING THAT YOU MEET THE SWEEPSTAKES ELIGIBILITY REQUIREMENTS, HAVE READ AND AGREE TO THESE OFFICIAL RULES AND THE SPONSOR’S TERMS OF USE (HTTPS://WWW.DISNEYPLUS.COM/LEGAL/TERMS-OF-USE). IF YOU DO NOT CHECK THE BOX INDICATING YOUR AGREEMENT TO THE ABOVE, YOU WILL NOT BE ENTERED IN THE SWEEPSTAKES AND CANNOT WIN THE PRIZE. DO NOT CHECK THE BOX WITHOUT FIRST REVIEWING THESE RULES AND SPONSOR’S TERMS OF USE. Then, click the designated button to submit your entry. Normal internet access and usage charges imposed by your internet service provider may apply.

Once you click "Enter" where indicated, you will receive one (1) entry into the Sweepstakes. Proof of inputting information at the Website is not considered proof of delivery to or receipt by Sponsor, Epsilon or Administrator. Receipt of entry may be acknowledged but such acknowledgment does not constitute a representation by Sponsor, Epsilon or Administrator as to eligibility of entry and is not otherwise binding upon Sponsor, Epsilon or Administrator.

B. Method #2 – Free Alternate Method of Entry Form ("AMOE"): To enter the Sweepstakes without becoming a Disney+ subscriber, individuals who are eligible as set forth above may send a 3" x 5" card with your name, email address (REQUIRED), city and state of residence, and mail in a business size (#10) envelope to: 12 Days of Perks: NBA Sweepstakes Entry, P.O. Box 1559, Social Circle, GA 30025-1559 ("Mail-in Entry"). Mail-in entries must be postmarked by January 16, 2026 and received by January 26, 2026 to be eligible for the drawing. To be eligible, Mail-in entries must be postmarked from an address in the 50 U.S. or District of Columbia. All Mail-in entries must be handwritten. Mechanical reproductions will not be accepted. Limit one (1) Mail-In entry per outer mailing envelope. Proof of sending or mailing of Mail-in entries will not be deemed to be proof of entry or proof of receipt by Sponsor or Administrator. Sponsor and Administrator are not responsible for lost, late, incomplete, damaged, stolen, delayed, invalid, unintelligible, illegible, misdirected or postage-due Mail-in entries, all of which will be disqualified. Receipt of Mail-in entries will not be acknowledged. Mail-in entries become Sponsor’s property and will not be returned.

Limit of one (1) entry per person per day during the Sweepstakes Period, regardless of method of entry. For the purposes of this Sweepstakes, a "day" is defined as beginning at 12:00 AM (midnight) PT and ending at the following 11:59 PM PT (except for the first day of the Sweepstakes Period [12/4/2025], which begins at 9:00 AM PT and ends at 11:59 PM PT, and the last day of the Sweepstakes Period [1/16/2026] which begins at 12:00 AM PT and ends at 8:59 AM PT). Multiple entries and/or mass entry attempts in violation of the entry limit will result in disqualification of all entries by such person. Entries generated by a script, macro, or other automated means or by any means that subverts the entry process will be disqualified. Entries that do not conform to or that violate these Official Rules or are submitted in any manner other than stated in these Official Rules will be disqualified.

*IMPORTANT: Data rates may apply if Sweepstakes entry via Method #1 is submitted via your mobile device according to the terms and conditions of your service agreement with your wireless carrier. Other charges may apply (such as normal airtime and carrier charges as well as charges for wireless Internet access) and may appear on your mobile phone bill or be deducted from your prepaid account balance. Wireless carriers' rate plans may vary, and you should contact your wireless carrier for more information on messaging/data rate plans and charges relating to your participation in this Sweepstakes. Mobile device service may not be available in all areas. Check your device's capabilities for specific instructions.

6. Winner Selection and Odds: Potential winner will be selected from among all eligible entries received during the Sweepstakes Period in a random drawing conducted by the Administrator. The drawing will take place on or about January 27, 2026. The drawing will be conducted by Administrator, an independent judging organization/administrator whose decisions are final and binding on all matters related to the Sweepstakes. Sweepstakes is available to millions of internet users. Odds of winning depend on the total number of eligible entries received during the Sweepstakes Period.

7. Winner Notification: Potential winner will be notified by e-mail on about January 27, 2026. Before being declared a winner ("Winner"), potential prize Winner will be required to complete, sign and return within five (5) days of date on notification (or such shorter period of time as indicated thereon) an Affidavit of Eligibility, Liability Release and Indemnification, a Publicity Release where allowed by law, the necessary paperwork for a background check, as well as other documents that Sponsor may require (collectively the "Prize Claim Documents"). Failure to respond to the initial notification within five (5) days after notification (or such shorter period of time, as applicable), return of e-mail notification as undeliverable after two (2) attempts, or failure to return the completed and signed Prize Claim Documents within the indicated time period will result in disqualification, prize forfeiture and selection of an alternate potential winner from among all remaining eligible entries received, time permitting.

In the event of any dispute concerning the identity of any entrant, the Entry will be deemed submitted by the natural person who is the authorized account holder of the email address associated with the Account (for entries made via Method #1) or the email address indicated on the Mail-In Entry (for entries made via Method #2), as applicable. "Authorized account holder" is defined as the natural person who is assigned to an e-mail address by an Internet access provider, online service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.

ALL FEDERAL, STATE, AND LOCAL INCOME TAXES INCURRED IN CONJUNCTION WITH ACCEPTANCE OF THE PRIZE ARE SOLELY THE RESPONSIBILITY OF THE WINNER WHO WILL RECEIVE A 1099 TAX FORM REFLECTING VALUE OF THE PRIZE. PRIZE WINNER FURTHER AGREES TO FULLY COOPERATE WITH SPONSOR/ADMINISTRATOR RELATIVE TO THE PREPARATION AND FILING OF THE 1099 TAX FORM, INCLUDING BY PROVIDING THEIR SOCIAL SECURITY NUMBER OR TAX IDENTIFICATION NUMBER.

8. Prize and Approximate Retail Value ("ARV"): There will be one (1) prize awarded ("Prize").

Prize: The Winner will receive a 3-day/2-night trip for the Winner and one (1) guest to attend one (1) 2025-2026 regular season NBA game (the "Event") in the United States or Toronto, Canada scheduled for no earlier than March 13, 2026 selected by the Winner subject to approval of Sponsor and NBA in their sole discretion** (collectively, the "Trip"). Trip includes: roundtrip coach air transportation for two (2), from a major commercial airport near winner’s residence ("Departure Airport") to area airport near NBA franchise city hosting approved NBA game ("Destination City"); two (2) nights hotel accommodations in or near Destination City (one standard room, double occupancy, room and tax only); two (2) tickets to Event (seat selection to be determined by Sponsor in its sole discretion); and ground transportation in Destination City awarded as $250 cash or cash equivalent to Winner.

**NBA All-Star Game is excluded. See Exhibit A for a list of NBA teams/cities; the 2025-2026 regular season schedule for each NBA team may be found on https://www.nba.com. Winner must provide Sponsor/Administrator with three (3) NBA games with at least fourteen (14)  days’ advance notice prior to the earliest selected NBA game. Winner may not receive his/her/their first choice of NBA game.

ARV Prize: $3,550.00. The actual value of the Prize awarded may vary depending on a number of factors, including approved NBA game, Departure Airport, Destination City, date, times of travel, and fluctuations of rates and airfares (if applicable) at the time of travel booking. Therefore, the actual value of the Prize awarded may be lower or higher at the time it is fulfilled. If the actual value of the Prize is less than the stated estimated value, the difference will not be awarded.

Travel for the Trip must be booked at least fourteen (14)  days prior to the intended travel dates and must occur so as to attend an NBA game no later than April 12, 2026 (the final day of the NBA 2025-2026 regular season game). If travel is not taken so as to attend an NBA game on April 12, 2026, the Prize will be forfeited without compensation of any kind. If potential Winner is unavailable to travel during designated timeframe for any reason (including so as to attend approved NBA game), the Prize will be forfeited without compensation of any kind and an alternate Winner may be selected (time permitting) from among all remaining eligible entries in a random drawing.

Prize is not redeemable or exchangeable for cash or transferable. Prize components may not be sold, traded, transferred or refunded. Prize elements may not be separated. No substitutions allowed, except Sponsor reserves the right to substitute prize or portions thereof with a prize of equal or greater value if any portion of prize is unavailable for any reason. The Winner will not receive compensation for any element of the Prize (including, without limitation, Event tickets) that they or their guest is unable to use for any reason, and any portion of the Prize not accepted or used by Winner will be forfeited.

National Basketball Association and its Member Teams are not responsible for administering this Promotion or selecting the winner.

If the guest of the Winner is a minor in their jurisdiction of residence, the Winner must be their parent or legal guardian. Guest (if a minor in their jurisdiction of residence, their parent or legal guardian) must sign a Release of Liability and Indemnification and a Publicity Release (where allowed by law), as well as the necessary paperwork for a background check (if applicable) prior to issuance of travel documents, which must be returned with the Prize Claim Documents requested of Winner, or guest portion of the Trip will be forfeited and no substitute prize or compensation will be awarded.

If Winner chooses to accept the Prize without a guest (or if guest does not timely return Release of Liability/Publicity Release and the necessary paperwork for a background check, as discussed above), Winner will only receive Prize in increments appropriate for themselves and no substitute prize or compensation will be awarded.

If Winner’s residence is within one hundred-fifty (150) miles of Destination City, as determined by Administrator in its sole discretion, ground transportation will be provided in lieu of air travel and no substitute prize or compensation will be awarded; and, under no circumstances will winner receive the difference between ARV and actual final value of Prize in cash.

If Prize includes airfare, the Winner and guest must travel together on the same itinerary, and air transportation must be roundtrip from/to the Departure Airport (with possible layovers). Sponsor/Administrator will determine airline and flight itinerary in their sole discretion. Trip cannot be extended. Airline carrier’s regulations and conditions apply to air travel. Airline tickets are nonrefundable, non-transferable, are not valid for upgrades or frequent flyer miles, and no codeshare flights may be used. The Winner and guest are responsible for providing proper documentation to travel which may include a REAL I.D. or passport. No one-way trips allowed. Unless otherwise necessitated by Sponsor, no stopovers are permitted on tickets issued; if a stopover otherwise occurs, the Prize will terminate and full fare will be charged from the stopover point for the remaining trip segment(s), including the return. Winner and guest are solely responsible for any and all baggage charges, taxes and any other charges incurred after or in connection with the issuance of airline tickets. Prize travel is subject to capacity controls, availability and certain other restrictions, all of which are subject to change. Airfare may not include government taxes, Passenger Facility Charge or September 11th Security Fee. Other travel restrictions and blackout dates may apply. All airline tickets are subject to the vagaries of flight variation, work stoppages, and schedule or route changes. The roundtrip air transportation element for any Prize travel begins and ends at the point of departure. Winner and guest assume the risk of any inherent or unforeseen dangers associated with travel.

Sweepstakes Entities are not liable for any expenses incurred as a consequence if any component of the Prize, including flights, are delayed, postponed, or cancelled for any reason; and, in such case, Winner will not be reimbursed and no substitution will be provided except in Sponsor's sole discretion. Prize and its components (including, without limitation, NBA tickets) cannot be used in conjunction with any other promotion or offer, separated, sold, exchanged or redeemed for cash, traded, transferred, substituted, assigned, used for commercial purposes, or rescheduled to dates other than as set forth above, except in Sponsor’s sole and absolute discretion, and any unused element of the Prize will be forfeited.

Sweepstakes Entities will not replace any lost, mutilated or stolen tickets, travel vouchers or certificates. Winner and guest further understand and agree that Sponsor has not obtained insurance of any kind for them relative to acceptance/use of the prize. Winner is solely responsible for any and all costs or expenses not specifically mentioned herein including, but not limited to, round-trip transportation between the Winner’s residence and the Departure Airport, baggage fees, flight/travel insurance, beverages, food, gratuities and tips, travel insurance, laundry service, merchandise, parking, room service, service charges, souvenirs, spa services/treatments, laundry, local and long distance telephone calls and taxes which are not expressly included in the Prize package (as applicable).

In addition, Winner and guest must comply with any applicable hotel check-in requirements, such as presentation of photo identification and a major credit card (and should Winner not have a credit card/payment instrument with sufficient available credit/funds to pay for a hotel stay of two [2] nights (or in such other amount as prescribed by hotel), Winner agrees to sign additional documents and/or take other steps prescribed by Sponsor and/or Administrator, upon request and without compensation of any kind, so as to protect Sponsor and Administrator from incurring any liability for damage to the hotel room/hotel property caused during the hotel stay by Winner and their guest.) Accommodations and travel are for up to two (2) persons sharing one (1) accommodation only. No additional guests are permitted to attend the Event or stay in the accommodations booked by Sponsor and/or Administrator (even if Winner pays for all costs/expenses associated with such additional guests).

In the event Winner is able to take the Trip, but the Event does not or cannot take place as scheduled or at all, for any reason beyond the control of Sponsor and NBA,  including but not limited to inclement weather, cancellations, postponement, location changes, security considerations, production exigencies of any kind, an event of force majeure, or for any other reason, the liability of Sponsor shall be limited to award of the remaining elements of Prize (i.e., 3-day/2-night trip for Winner and guest to Destination City), with no further obligation to Winner.

Type of ticket to NBA game and seat location at game are of Sponsor’s sole determination. Tickets are provided to Winner and their guest pursuant to a revocable, nontransferable license that is personal to Winner/guest and may not be sold, resold, auctioned, bartered, assigned, exchanged, placed in commerce, transferred, given away, donated, or otherwise conveyed. Attending the NBA game constitutes agreement of Winner/guest (if a minor in their jurisdiction of residence, the parent/legal guardian of such guest) to the terms of such license, including (a) recovery (if any) in the event that the NBA game is not played to completion for any reason; and (b) compliance with all applicable laws and regulations as well as venue policies. NBA and/or venue hosting NBA game may revoke admission to NBA game if a Winner and/or their guest violates the NBA Fan Code of Conduct, including by way of example only, is (are) determined to be intoxicated, to pose a safety risk to themself or others, to violate any applicable law or venue policy, or engages in any conduct that brings the NBA and/or venue hosting NBA game into disrepute.

In the event a Winner and/or their guest engage in behavior that, as determined by Sponsor/NBA/venue hosting NBA game in its sole and absolute discretion, is obnoxious or threatening, illegal, is intended to annoy, abuse, threaten or harass any other person, or is contrary to Sponsor's (or its affiliates') property rules or policies in effect at the time of the NBA game, Sponsor reserves the right to terminate the trip or other applicable experience early, in whole or in part, and send the Winner and/or their guest home with no further compensation. Winners acknowledge and agree to be solely responsible for any actions, claims or liabilities of any member of their group.

Any images of Prize/Prize components in advertising are for illustrative purposes only and actual items awarded as prize/prize components may differ from such images; and Sweepstakes Entities expressly disclaim any and all liability in conjunction therewith. 

In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Sweepstakes promotional materials and the terms and conditions of these Official Rules, these Official Rules shall prevail and govern.

9. Limitations of Liability: By entering, entrants agree that Sweepstakes Entities, and their respective parents, subsidiaries and affiliated companies, advertising and promotion agencies, and all of their respective officers, directors, employees, representatives and agents (collectively "Released Parties") will have no liability whatsoever, and shall be released and held harmless by entrants, for any injuries, claims, losses or damages of any kind to persons, including death, or property resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of Prize or participation in this Sweepstakes or participation in any Sweepstakes-related activity, or entrant’s failure to comply with the Official Rules. The Released Parties shall not be liable to Winner or any other person for failure to supply the Prize or any part thereof, by reason of any acts of God, any action(s), regulation(s), order(s) or request(s) by any governmental or quasi-governmental entity (whether or not the action(s), regulation(s), order(s) or request(s) prove(s) to be invalid), equipment failure, terrorist acts, earthquake, war, fire, flood, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, insurrection, riot, or any other cause beyond the Released Parties’ control. The Released Parties are not responsible for failed, partial or garbled computer transmissions, or for technical failures of any kind affecting the Sweepstakes in any manner, including but not limited to electronic malfunction or damage of any network, hardware or software. If for any reason the Sweepstakes is not capable of running as planned, including, but not limited to, infection by computer virus, bugs, tampering, unauthorized intervention, fraud or technical failures beyond Sponsor’s control that corrupt or affect the administration, security, fairness, integrity or proper conduct of the Sweepstakes (including entries or otherwise), Sponsor reserves the right, in its sole discretion, to disqualify any individual, whether or not the individual is a participant in the Sweepstakes, who tampers with the entry process, and to terminate, modify or suspend the Sweepstakes. In such event, Sponsor reserves the right to conduct the Sweepstakes and award the Prize by means of a random drawing from among all eligible entries received prior to and/or after (as appropriate) the action taken by Sponsor or otherwise in a manner which is fair, appropriate and consistent with these Official Rules, as determined by Sponsor in its sole discretion. Notice of termination/modification/suspension of Sweepstakes will be posted on the Website. No responsibility is assumed for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or loss, destruction or unauthorized access to, or alteration of, entries; or any problems or technical malfunctions of any telephone network or lines, computer or internet online systems, servers, or providers, computer equipment, software, failure of any e-mail or electronic entry or participation to be received on account of technical problems or traffic congestion on the Internet or at any website/platform, or any combination thereof, including any injury or damage to any person's computer related to or resulting from participation in or downloading any materials from this Sweepstakes. Failure of Sponsor or Administrator to enforce any provision of these Official Rules shall not constitute the waiver of such provision.

Entrants further agree not to knowingly damage or cause interruption of the Sweepstakes and/or prevent others from participating in the Sweepstakes. CAUTION: ANY ATTEMPT TO DAMAGE ANY ONLINE SERVICE, WEBSITE OR PLATFORM OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES, MAY VIOLATE CRIMINAL OR CIVIL LAWS. IF SUCH AN ATTEMPT IS MADE, SPONSOR MAY DISQUALIFY ANY PERSON, WHETHER OR NOT THE INDIVIDUAL IS A PARTICIPANT IN THE SWEEPSTAKES, MAKING SUCH ATTEMPT AND SEEK DAMAGES TO THE FULLEST EXTENT OF THE LAW.

Except where legally prohibited, Winner grants (and agrees to confirm in writing) permission for the Released Parties to use such Winner's name, photograph, voice, likeness, and/or statements made by, or attributed to the Winner in all media now known or hereafter discovered, worldwide, including, without limitation, on the World Wide Web, without notice, review or approval or further compensation and in perpetuity.

WITHOUT LIMITING THE FOREGOING, EVERYTHING REGARDING THIS SWEEPSTAKES, INCLUDING THE PRIZE, IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT.

10. Disputes/Choice of Law: Except where prohibited, entrants agree that: (a) any and all disputes, claims, and causes of action arising out of or connected with the administration of this Sweepstakes, or the awarding of Prize/determination of the Winner, shall be resolved individually, without resort to any form of class action, and exclusively by arbitration pursuant to the Rules of JAMS, then effective (notwithstanding the foregoing, entrant shall not be precluded from seeking relief in small claims court for disputes/claims within the scope of the jurisdiction of small claims court and any remedies available to entrant under applicable federal, state or local law remain available to entrant and are not waived pursuant to this section); (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes but in no event attorneys’ fees; and (c) under no circumstances will entrant be permitted to obtain awards for and entrant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased and any and all rights to injunctive relief. The arbitrator hearing such dispute/claim/cause of action shall be neutral and the entrant will have a reasonable opportunity to participate in the selection of the arbitrator. Such arbitration will take place at a location near the entrant’s residence and the entrant has the right to an in-person hearing in the arbitration proceeding, if desired. The arbitration will allow for discovery and/or exchange of non-privileged information between entrant and Sponsor. Should an entrant initiate arbitration pursuant to this section, the entrant shall be responsible for JAMS’s fees to do so (approximately, $250), with all other costs of such arbitration being borne solely by Sponsor. If entrant is a California resident and Sponsor is the prevailing party in such arbitration, such entrant will not be responsible for Sponsor’s costs and fees in conjunction with the arbitration proceeding; BUT, IN ALL OTHER CASES, ENTRANT WILL BE RESPONSIBLE FOR SUCH COSTS/FEES IF REQUIRED BY THE ARBITRATOR’S RULING. For the avoidance of doubt, the requirement to arbitrate disputes pursuant to this section is reciprocal and binding both upon entrants and Sponsor. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of entrant and/or Released Parties in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of New York, without regard for conflicts of law doctrine of New York or any other jurisdiction and all proceedings shall take place in the City of New York, County of New York (except as otherwise provided herein).
